MedPal AI – Website and App Terms and Conditions

1. Scope and Acceptance of Terms


Overview: These Terms and Conditions (“Terms”) govern your access to and use of the MedPal AI website, mobile application (“App”), and related services operated by MedPal AI Limited (“MedPal AI,” “Company,” “we,” “us,” or “our”). By creating an account or using our website or App (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, you must not use MedPal AI. These Terms form a legally binding agreement between you and MedPal AI.


Non-Clinical Wellness Service: MedPal AI is a health and wellness platform that provides AI-driven analyses and personalized recommendations based on data from wearables and user inputs. It is not a medical or clinical service, and it does not provide medical advice or diagnosis. (See Section 5 on Medical Disclaimers for more details.) By using the Service, you acknowledge that MedPal AI’s content is for general informational purposes only and is not a substitute for professional medical advice.


Acceptance: You must be of legal age and capacity to agree to these Terms. By using MedPal AI, you represent that you are at least 18 years old (or the age of majority in your jurisdiction). If you are 13 or older but under the age of majority, you may only use the Service with the consent and supervision of a parent or legal guardian. MedPal AI is not intended for children under 13, and we do not knowingly allow such individuals to use the Service. Use of the Service by anyone under 13 is expressly prohibited.


Related Policies: Please review our Privacy Policy (available on our website and in the App) to understand how we collect, use, and safeguard your personal data. By using MedPal AI, you consent to the data practices described in our Privacy Policy. If you purchase a subscription via a mobile app store or platform, additional terms from those platforms (e.g., Apple App Store or Google Play) may apply to payments and cancellations.


2. Account Registration and User Responsibilities


Account Creation: To access certain features, you must create a personal MedPal AI account. You agree to provide accurate, current, and complete information during registration and to update it as needed. Do not impersonate anyone or provide false details. We reserve the right to reject or require changes to any information you provide if, in our discretion, it is inappropriate or violates these Terms.


Eligibility: Each user may maintain only one account. You may not use another person’s account, and you may not share your login credentials with anyone else. You are responsible for all activities that occur under your account.
Security of Credentials: You must keep your account password confidential and secure. Use a strong password and protect your login information. If you suspect any unauthorized access or breach of security, you must notify us immediately. We implement industry-standard security measures to protect your account, but no system is completely infallible. MedPal AI is not liable for any loss or damage arising from unauthorized use of your account (e.g. if you fail to safeguard your credentials).


User Conduct: When using MedPal AI, you agree to:


●    Provide truthful information and only upload data that you have the right to share. This includes health metrics, wearable data, or any content you input.

●    Use the Service for personal, non-commercial purposes related to your individual health and wellness.

●    Refrain from any illegal, harmful, or abusive activities. You must not use the Service to harass others, distribute malware, attempt to hack or disrupt the platform, or violate any law.

●    Not attempt to reverse engineer, copy, or exploit our software or content. Any scraping, bulk downloading, or unauthorized data extraction from the Service is prohibited.

Violation of any user responsibility can result in suspension or termination of your account (see Section 9).


3. Privacy and Data Protection


Personal and Health Data: By using MedPal AI, you acknowledge and agree that we will collect and process certain personal data, including sensitive health information, to provide our services. This data may include information from your connected wearables, health apps (e.g. Apple Health, Google Fit), and any health inputs or assessments you provide. We handle this data in accordance with our Privacy Policy and applicable data protection laws.


GDPR and International Compliance: MedPal AI Limited is based in the UK and complies with the UK Data Protection Act 2018 and the EU General Data Protection Regulation (GDPR) for users in the UK and EU, as well as other applicable privacy laws in the jurisdictions where we operate. Under the GDPR, health and biometric data are considered “special category” personal data subject to strict rules. We will only process your health data with your explicit consent or other lawful bases permitted by law. For example, when you sign up and input health information, we take that as explicit consent to use that data to provide the Service’s features.


Data Use and Purpose: Your data is used to personalize your experience, generate AI-driven health insights, and improve the Service. We do not sell your personal data. We may share data with third-party service providers (e.g. cloud hosting, analytics) only as necessary to operate the Service and under strict obligations of confidentiality and security. We may also disclose information if required by law or in response to valid legal process (see Privacy Policy for details).


Data Security: We employ administrative, technical, and physical safeguards to protect your personal and health data from unauthorized access, disclosure, or alteration. This includes encryption of health data, secure servers, and regular security assessments. However, you acknowledge that no system can be guaranteed 100% secure or error-free. You are responsible for maintaining the security of your devices and any personal access (for instance, protecting your phone or wearable devices with proper passwords or biometrics).


Data Rights: Depending on your jurisdiction, you have certain rights regarding your personal data. These may include the right to access your data, correct or delete it, restrict or object to certain processing, and export your data (data portability). We detail these rights in our Privacy Policy and will honor valid requests in compliance with applicable law. For example, EU and UK users have rights under GDPR, and California residents may have rights under CCPA. To exercise your data rights or to withdraw consent for processing health data, please contact us at the email provided in the Privacy Policy.


Retention: We will retain your personal data only as long as necessary for the purposes outlined (improving your health insights, etc.) or as required by law. You may request account deletion, in which case we will delete or anonymize your personal data unless retention is required by law or legitimate interests (such as security, fraud prevention, or backup requirements).


4. AI-Generated Content and Use of Service


AI-Driven Recommendations: MedPal AI uses artificial intelligence and machine learning to analyze your health data and provide insights, recommendations, and alerts. You understand that any content, suggestions, or analyses produced by the AI are generated by algorithms and have not been clinically evaluated or verified by a human healthcare professional. While we aim to provide useful guidance for wellness, AI-generated outputs may not always be accurate, complete, or up-to-date. The Service’s content is provided “as is” without any guarantee of correctness or suitability for your personal health situation.


Not Medical Advice: All information, text, graphics, messages, or other materials available through MedPal AI are for general informational and wellness purposes only. The AI-generated content is not professional medical advice, diagnosis, or treatment. MedPal AI is not a licensed healthcare provider, and the Service should not be used as a diagnostic tool or to make medical decisions. We do not provide clinical diagnoses or treatment plans. Always consult a qualified physician or healthcare provider for interpretation of your health data and before making any health-related decisions or changes to your lifestyle or treatment regimen.


User Responsibility and Caution: You agree to use the information from MedPal AI responsibly and at your own risk. Never disregard professional medical advice or delay seeking it because of something you read in our App or website. If the AI flags a potential issue or gives a recommendation, you should treat it as educational input that you may discuss with a doctor – not as a medical directive. It is your responsibility to seek medical advice from a licensed professional for any questions or concerns about your health. Reliance on any AI-provided information is solely at your discretion and risk.


Emergency and Critical Situations: MedPal AI is not an emergency service. Do not use the App to seek help in medical emergencies. If you experience symptoms that you believe are serious or life-threatening, or if the Service ever suggests you may have a critical issue (e.g., very high stress or heart rate), immediately contact emergency services or a healthcare professional. If you think you may be experiencing a medical emergency, call the emergency number (such as 999/112 in UK/EU, or 911 in the US) and/or your doctor right away. MedPal AI does not connect you to any doctor or hospital, and we do not contact emergency responders on your behalf.


No Doctor-Patient Relationship: Your use of MedPal AI does not create a doctor–patient (or any healthcare provider–patient) relationship between you and MedPal AI or any of its employees or agents. The Service is a self-guided wellness tool; it does not replace regular check-ups, diagnostic tests, or treatment by licensed professionals. You should continue to seek routine medical care and follow the advice of healthcare providers. You should also inform your healthcare providers about information or recommendations from MedPal AI that you consider significant, as they can help interpret it in context.


Accuracy and Limitations of AI Data: While MedPal AI strives for accuracy, we make no warranty that the health information or recommendations provided are error-free or scientifically validated. AI models may be limited by the data they were trained on and might not account for every personal factor or latest medical research. The Service’s suggestions could be incomplete or in rare cases incorrect due to these limitations. You agree that MedPal AI is not liable for any errors or omissions in the content provided by the AI. We encourage you to use your own judgment and consult professionals when interpreting AI outputs.


Third-Party Data and Integrations: MedPal AI integrates with third-party wearable devices and apps to collect your health metrics. We do not guarantee the accuracy or availability of data from these third-party sources. For example, if a connected wearable provides incorrect readings or goes offline, MedPal AI’s analysis might be impacted. We are not responsible for errors or delays in data we receive from external devices or platforms. It is your responsibility to ensure your wearable accounts are properly linked and functioning. Any use of third-party products is at your own risk, and those products may have their own terms and privacy policies with which you must comply.


5. Health and Medical Disclaimers


To reiterate and emphasize important limitations:


●    No Medical Advice or Diagnosis: MedPal AI does not provide medical advice. All content and recommendations in the App/website are informational only and not a substitute for professional medical advice, diagnosis, or treatment. The Service is a non-clinical wellness tool and is not regulated as a medical device. We do not guarantee any health outcomes from using the Service.

●    Consult Professionals: Always seek the advice of a physician or qualified health provider with any questions about your health, medical conditions, or before starting/stopping any treatment or wellness program. Never disregard or delay seeking medical advice because of something from MedPal AI. Our staff (if any) cannot give personal medical advice or emergency assistance through the platform.

●    Use At Your Own Risk: You assume full responsibility for how you use the information from MedPal AI. Any actions you take based on AI outputs are solely at your own risk. MedPal AI shall not be held liable for any injury, loss, or damage that you or anyone else incurs from decisions made or actions taken in reliance on the information provided by the Service. This includes any lifestyle changes, health interventions, or failure to seek treatment that you undertake based on our AI suggestions.

●    No Endorsement of Third-Party Tests or Products: If MedPal AI ever mentions or integrates with third-party tests, devices, supplements, or services, such mention is not an endorsement or recommendation. You should follow the guidance of healthcare professionals regarding any medical tests or products. MedPal AI does not recommend or endorse any specific tests, healthcare providers, products, or procedures that may be referenced by the AI or user content; any such reference is for informational purposes only.

●    Not FDA/MHRA Approved: MedPal AI’s Service has not been evaluated or approved by health regulators (such as the U.S. Food and Drug Administration or the UK Medicines and Healthcare products Regulatory Agency) because it is not intended for diagnosing, treating, curing, or preventing any disease. It is categorized as a general wellness tool. We make no claims that our product is clinically proven or approved for medical use. You should not use MedPal AI in place of medical devices or prescribed health monitors that a doctor has recommended for you.

By acknowledging these disclaimers, you understand the inherent limitations of a consumer wellness AI application and agree that MedPal AI’s role is supplemental and educational, not diagnostic or prescriptive.


6. Subscription Plans and Payment Terms


Freemium and Premium Services: MedPal AI may offer both a free tier (“Freemium”) with basic features and a paid subscription (“Premium”) with additional features and content. The specific features available under each plan will be described in our App or website. Some advanced analytics or personalized coaching features may require a Premium subscription. You can use the free features without charge, but access to premium features requires payment.


Subscription Fees: If you choose to subscribe to Premium, you agree to pay the applicable subscription fees, which will be clearly disclosed to you (e.g., monthly or annual pricing). Prices are listed in your local currency where possible and may be subject to applicable taxes. By subscribing, you authorize MedPal AI (or the third-party app store facilitating the payment) to charge the recurring subscription fee to your provided payment method. All fees are due in advance on the first day of each subscription period. For example, a monthly plan is charged at the start of each month.


Free Trials and Promotions: MedPal AI may offer free trials or promotional offers for Premium. If we grant you a free trial, you will have access to Premium features for the duration of the trial period as specified. Unless otherwise stated, free trials automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends. We will notify you of the trial terms at sign-up. Only one free trial per user is allowed (unless we specify otherwise). If you do not wish to continue with Premium, be sure to cancel the subscription prior to the trial’s expiration to avoid being charged.


Auto-Renewal: All subscription plans auto-renew at the end of their billing cycle (e.g., monthly subscriptions renew each month, annual renew each year) unless you cancel. This means your payment method will be charged automatically on a recurring basis. You can cancel at any time before the next renewal date to stop future charges. If you cancel, you will retain access to Premium features until the end of the current paid period, after which your account will revert to the free tier. We do not typically provide refunds or credits for partial periods, unless required by law (see Refunds below).


Cancellation: You may cancel your subscription by following the instructions in the App settings or through the platform where you purchased the subscription. For example, if you subscribed via the Apple App Store or Google Play Store, you may need to cancel through your Apple or Google account subscriptions management. It is your responsibility to cancel a subscription if you do not want it to auto-renew. Upon cancellation, no further payments will be taken, but we do not retroactively refund subscription fees that have already been charged, except where required by consumer protection laws or at our discretion in special cases.


Refunds: MedPal AI’s policy is that subscription fees are non-refundable once paid, except where the law mandates a refund (for instance, some jurisdictions have a cooling-off period for online subscriptions) or where we decide to issue a refund as a courtesy. If you believe you are entitled to a refund or have extenuating circumstances (e.g., you were charged after timely cancellation due to an error), please contact our support team. Any approved refunds will typically be processed to the original payment method. Keep in mind that if you purchased through a third-party app store, the store’s refund policies may apply, and we might not be able to directly process refunds (you would need to request through the app store).


Payment Information: You must provide current, complete, and accurate billing information. If your payment method (e.g., credit card) expires or is declined, you must update your information promptly. If a payment fails, we may attempt to charge again at a later time or suspend your Premium access until payment is resolved. You are responsible for any fees (e.g., foreign transaction fees or currency conversion fees) your bank or card provider charges.


Changes in Fees: Our subscription fees are subject to change over time. Any increase in charges will be

communicated to you in advance in accordance with applicable laws. We will notify you by email or in-app notification of any price increases and give you the opportunity to cancel before such changes take effect. If you do not cancel and continue to use the Premium service, you will be deemed to have accepted the new fees. Promotional or discounted subscription rates are only valid for the initial term indicated; thereafter, regular rates will apply.


Premium Features and License: Upon successful subscription, you are granted access to Premium features for the duration of your paid term. This access is a revocable, limited license for personal use of those features, subject to these Terms. Sharing Premium-only content outside the Service or with non-subscribers, or any attempt to circumvent paywalls, is a violation of these Terms and may result in termination of your account.


7. Intellectual Property and License


Our Intellectual Property: All content and materials available through the MedPal AI Service, including but not limited to software, algorithms, text, graphics, logos, images, audio clips, video, data compilations, and the overall look and feel of the App/website, are intellectual property owned by or licensed to MedPal AI Limited. This includes the MedPal AI™ name and logo, as well as any trademarks or service marks appearing on the platform. These are protected by copyright, trademark, patent, and other intellectual property laws. We reserve all rights in and to our intellectual property. Nothing in these Terms transfers any ownership of such rights to you or any third party.


Limited User License: Subject to your compliance with these Terms, MedPal AI grants you a personal, non-exclusive, non-transferable, revocable, limited license to access and use the Service (and its content) for your own personal, non-commercial health and wellness purposes. This license is for use of the Service as intended (via our App or website) and does not give you any ownership of the software or content. You may not sub-license, rent, lease, or otherwise transfer your rights under this license to anyone else. Organizations or businesses may not use the Service for commercial purposes without our prior written consent.


Prohibited Uses (Intellectual Property): Except as expressly allowed by MedPal AI, you agree not to do any of the following:


●    Copy, reproduce, or distribute any part of the Service or content provided by MedPal AI, except as may be incidental to normal personal use of the Service or as permitted by law (e.g., quoting a small excerpt for commentary with attribution). For example, you should not scrape our app’s content or create a parallel database of our analysis.

●    Modify, adapt, translate, or create derivative works based on any part of the Service. You may not reverse-engineer, decompile, or attempt to extract the source code of our software, except to the limited extent allowed by mandatory law (and if so, with notice to us).

●    Remove or obscure any copyright, trademark, or other proprietary notices on the App or website. This includes branding or watermarks on any reports or images generated by the Service.

●    Use our marks or name without permission. The MedPal AI name, logo, and other affiliated logos and names are trademarks of MedPal AI Limited. You may not use these marks in a way that confuses others or implies our endorsement of any product or service without our prior written approval.

All rights not expressly granted to you in these Terms are reserved by MedPal AI and its licensors. If you violate these license terms, your permission to use our Service automatically terminates and we may suspend or delete your account.


User-Provided Content: In the course of using MedPal AI, you might provide or upload content to the Service (for example: personal profile information, health data, comments, feedback, or other materials). You retain all ownership rights to the content that you provide. However, to the extent necessary for us to operate the Service, you grant MedPal AI a worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify, adapt, and create derivative works from your content for the purpose of providing and improving the Service (for example, processing your data to generate health insights, formatting your inputs for display, or training/improving our AI algorithms in anonymized form). This license lasts for as long as your content is protected by intellectual property rights. It is limited to use in connection with the Service and as otherwise permitted by our Privacy Policy (which explains how we handle personal data). We will never publicly disclose your personal health data or user-specific information without your consent or as allowed by the Privacy Policy.


Feedback: If you submit suggestions, ideas, or feedback to us about the Service (“Feedback”), you agree that such Feedback is provided voluntarily and we are free to use it however we see fit, without any obligation to you. Any improvements or features based on your Feedback remain our property. We appreciate user Feedback but cannot compensate you or credit you beyond perhaps acknowledging contributions in general.
Third-Party IP: The Service may contain content or software provided by third parties (such as open-source libraries or device integration tools). Use of third-party software or content is subject to the licenses and terms of those third parties. We are not responsible for any third-party content, and you should respect the intellectual property rights of any third parties whose content appears in our App. If you believe that any content on MedPal AI infringes your intellectual property rights (e.g., copyright), please notify us via the contact information provided so we can investigate and respond in accordance with applicable IP laws (like the Digital Millennium Copyright Act (DMCA) in the US or equivalent EU directives).


8. Limitation of Liability


Use at Your Own Risk: MedPal AI is provided on an “as is” and “as available” basis. While we strive to maintain a high level of service quality, we make no warranty that the Service will be uninterrupted, error-free, or completely secure. You agree that using the Service and relying on any content is at your sole risk. To the fullest extent permitted by law, MedPal AI disclaims all warranties (express or implied) regarding the Service, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of data, or quiet enjoyment. In jurisdictions that do not allow the exclusion of certain warranties, our liability will be limited to the minimum extent permitted by law.
No Indirect Damages: To the maximum extent permitted by applicable law, MedPal AI (and its officers, directors, employees, agents, and affiliates) will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of (or inability to use) the Service. This limitation of liability applies regardless of the cause of action, whether in contract, warranty, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages. This means we are not liable for, as examples: loss of profits or revenue; loss of data; loss of business opportunities or goodwill; health issues or injuries; or incidental financial losses that result from using our Service. In particular, we will not be liable for any harm that may result from your reliance on AI-generated insights or from any decisions you make regarding your health or lifestyle.
No Liability for Certain Risks: Additionally, MedPal AI is not responsible or liable for:


●    Any damage to your devices or wearables or loss of data that results from downloading our App or using the Service (for example, due to malware or viruses, which we strive to prevent but cannot warrant to be completely absent).

●    Unauthorized access to or use of your account or personal data (e.g., if our security measures are bypassed by a third party or if you fail to secure your login), provided we have not been negligent in protecting your data. We implement security, but you acknowledge the risk that data transmission over the internet or storage systems can be breached.

●    Service outages or failures, such as inability to access the App, or any bugs or glitches in the software. We do not guarantee the Service will function without disruption or errors at all times.

●    Content provided by third parties. This includes data from third-party devices, links to external websites, or any third-party offers in the App. We do not control or assume liability for third-party information or services.

●    Health outcomes. As stated, we are not liable for any health problems or injuries you may experience (or fail to detect) while or after using MedPal AI. We do not assume any medical duty of care, and use of the Service is not a medical consultation.

Cap on Liability: To the extent that any liability is not legally excludable, the total cumulative liability of MedPal AI to you for all claims arising out of or related to these Terms or the Service will not exceed the amount (if any) you paid us to use the Service in the 12 months immediately preceding the event giving rise to liability, or £100 GBP (or equivalent), whichever is greater. If you have not paid any amount (for example, using the free version), MedPal AI’s total liability will be capped at £100 (which is roughly equivalent to $100 USD). This limitation is aggregate – it applies to all types of claims and causes of action.


Exceptions: Nothing in these Terms shall limit or exclude our liability for any liability that cannot be limited or excluded by law. In particular, we do not limit liability for death or personal injury caused by our negligence, or for our fraud or fraudulent misrepresentation, or for any other liability that by applicable law cannot be excluded. Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of certain damages. In such jurisdictions, some disclaimers and limitations in this section may not fully apply to you – in that case, our liability will be limited to the maximum extent permitted by the laws of that jurisdiction. Specifically, if you are a consumer in the European Union, you may have certain statutory rights (including that we cannot disclaim liability for personal injury caused by our negligence, etc.), and no provision in these Terms shall reduce those mandatory rights.


Indemnity: (Note: This section may be more relevant in a B2B context or if users can post content; include if needed.) You agree to indemnify and hold harmless MedPal AI and its affiliates from any losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your misuse of the Service. This means if your actions (or data you provide) cause us harm or result in a legal claim against us, you will compensate us to the extent of that harm. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claim.


9. Termination and Suspension of Accounts


Your Right to Terminate: You may stop using MedPal AI at any time. You can also delete your account or uninstall the App if you wish to terminate your use of the Service. If you wish to have your personal data deleted, please refer to our Privacy Policy for data deletion procedures – simply uninstalling the app will not automatically delete your account data on our servers, so you may need to contact support for permanent deletion. Keep in mind that certain obligations incurred before termination (like payment of any outstanding fees) and provisions of these Terms that are meant to survive (such as disclaimers and limitation of liability) will continue to apply even after you stop using the Service.
Our Right to Suspend or Terminate: We reserve the right to suspend or terminate your access to MedPal AI (or portions of it) at our sole discretion, at any time, with or without notice. We might do this if, for example, you have violated these Terms, if we are required by law to terminate (e.g., due to sanctions or illegal conduct), or if continued provision of Service to you is no longer commercially viable or feasible. In most cases of minor violations, we will attempt to warn you and work with you to resolve the issue before taking such action. However, for serious or repeated violations, or illegal behavior, your account may be terminated immediately without advance notice.


Examples of Violations: Grounds for suspension or termination include (but are not limited to):


●    Breaching any material term of these Terms or repeatedly violating any term.

●    Using the Service for any unlawful or fraudulent purpose.

●    Attempting to interfere with or disrupt the integrity or security of the Service.

●    Unauthorized scraping, harvesting, or collecting data from the Service.

●    Sharing MedPal AI’s proprietary content or algorithms in an unauthorized manner.

●    If we discover that you are under 13 or otherwise ineligible to use the Service.

●    Non-payment of subscription fees, if applicable (after reasonable grace period and notices).

Effect of Termination: Upon termination of your account, whether by you or us, your right to use the Service will cease immediately. We may delete or deactivate your account and all associated data (except to the extent we are obliged or permitted to retain certain data under our Privacy Policy or by law). You will lose access to any features requiring an account login, including any data or content you have stored on the Service (so if you wish to preserve your data, please export it or make backups before terminating). We are not liable to you for any termination of your account or deletion of your data, provided such termination complies with these Terms and applicable law. If we terminate your account unjustly, you may have legal remedies under consumer laws, but otherwise, we reserve the right to terminate as provided.


Service Modifications and Shutdown: MedPal AI also reserves the right to modify or discontinue the Service (or any part of it) at any time without liability. We are constantly improving our App and may add or remove features. If we discontinue the Service entirely, we will attempt to give you prior notice via the email associated with your account or by posting an announcement on our site. If we discontinue any paid service, we may provide a pro-rata refund for any unused portion of prepaid fees, as required by law. However, we are not responsible for losses or inconvenience you may suffer due to the Service being modified or shut down.
10. Governing Law and Jurisdiction


Governing Law: These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. We choose English law because MedPal AI Limited is a UK company. However, we recognize that if you are a consumer in another jurisdiction, you may have certain protections under the mandatory laws of your country of residence; nothing in these Terms affects your rights under those laws. Jurisdiction: You and MedPal AI agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Service. However, if you are acting as a consumer, this choice of jurisdiction will not deprive you of any rights you have to bring or defend proceedings in your home country under applicable consumer laws. In plain terms, we expect that most legal disputes will be handled in the UK, but if local law allows, consumers can choose to proceed in their local courts.


International Use: MedPal AI operates globally, and our infrastructure may be located in various countries (for example, our servers or support teams might be outside the UK). By using the Service, you acknowledge that your data may be transferred internationally (as described in the Privacy Policy). We make no representation that the Service is appropriate or available in any particular location. Those who access or use the Service from jurisdictions prohibiting such use do so at their own risk and are responsible for compliance with local laws. You agree to comply with all local laws regarding online conduct and acceptable content.


Language: These Terms are drafted in English. If we provide a translation, it is for convenience. In the event of any conflict between the English version and a translated version, the English version will control.


Regulatory Compliance: MedPal AI is intended to comply with applicable laws in the UK and, as a data processor/controller, with GDPR for EU/EEA. We also aim to conform to relevant regulations in the United States and other markets concerning consumer protection and data privacy. If any provision of these Terms is found unenforceable under the laws of a particular jurisdiction, that provision will be ineffective only to the extent of the unenforceability (without invalidating the remaining provisions) and will be interpreted to fulfill its intended purpose to the greatest extent permitted by law.


11. Miscellaneous Provisions


●    Entire Agreement: These Terms (along with the Privacy Policy and any other guidelines or policies we provide) constitute the entire agreement between you and MedPal AI regarding the Service, and supersede any prior agreements or understandings, whether written or oral, relating to your use of the Service. Any additional or different terms you may communicate to MedPal AI (for example, in any customer purchase order or through feedback) are void and will not alter these Terms.

●    Changes to Terms: MedPal AI may update or revise these Terms from time to time, especially as our services evolve or laws change. If we make material changes, we will notify users by posting the updated Terms on our website and updating the “Last Updated” date, and/or by sending a notice via email or in-app notification. Your continued use of the Service after changes have been made constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and, if applicable, cancel any subscriptions. We encourage you to review the Terms periodically.

●    No Waiver: If we do not enforce a provision of these Terms, that does not mean we waive our right to do so later. Any waiver of rights by MedPal AI must be explicit and in writing. If one party waives a breach of these Terms, it does not mean a waiver of any later breach.

●    Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, that provision will be eliminated or limited to the minimum extent necessary, and the remainder of the Terms will remain in full force and effect.

●    Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law or otherwise. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

●    Third-Party Rights: These Terms are between you and MedPal AI. Except as stated in the Privacy Policy (regarding rights of data subjects) or as required by law, no other person has any rights to enforce any of these Terms. For UK users, you and we agree that the Contracts (Rights of Third Parties) Act 1999 does not apply to these Terms.
