MedPal AI – Website and App Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the MedPal AI website, mobile application (“App”), and related services (collectively, the “Service”). Please read them carefully.

1. Scope and Acceptance of Terms

Overview: The Service is operated by MedPal AI plc (“MedPal AI”, “Company”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. These Terms form a legally binding agreement between you and MedPal AI plc.

Non-Clinical Wellness Service: MedPal AI is a health and wellness platform that provides AI-driven analyses and personalised recommendations based on data from wearables and user inputs. It is not a medical or clinical service, and it does not provide medical advice or diagnosis. (See Section 5 on Medical Disclaimers.) By using the Service, you acknowledge that MedPal AI’s content is for general informational purposes only and is not a substitute for professional medical advice.

Clinic/Pharmacy services: If you access any clinic or pharmacy (regulated care) services via MedPal, those services may be provided under separate terms and privacy notices and may be controlled by a different MedPal group entity (for example, MedPal Limited). In that case, the service-specific terms and notices will apply to those clinic/pharmacy services.

Acceptance: You must be of legal age and capacity to agree to these Terms. By using MedPal AI, you represent that you are at least 18 years old (or the age of majority in your jurisdiction). If you are 13 or older but under the age of majority, you may only use the Service with the consent and supervision of a parent or legal guardian. MedPal AI is not intended for children under 13, and we do not knowingly allow such individuals to use the Service. Use of the Service by anyone under 13 is expressly prohibited.

Related Policies: Please review our Privacy Policy (available on our website and in the App) to understand how we collect, use, and safeguard personal data. We process personal data in line with our Privacy Policy and applicable law. Where we rely on consent for optional processing, we will ask for it and you can withdraw it. If you purchase a subscription via a mobile app store or platform, additional terms from those platforms (e.g., Apple App Store or Google Play) may apply to payments and cancellations.

2. Account Registration and User Responsibilities

Account Creation: To access certain features, you must create a personal MedPal AI account. You agree to provide accurate, current, and complete information during registration and to update it as needed. Do not impersonate anyone or provide false details. We reserve the right to reject or require changes to any information you provide if, in our discretion, it is inappropriate or violates these Terms.

Eligibility: Each user may maintain only one account. You may not use another person’s account, and you may not share your login credentials with anyone else. You are responsible for all activities that occur under your account.

Security of Credentials: You must keep your account password confidential and secure. Use a strong password and protect your login information. If you suspect any unauthorised access or breach of security, you must notify us immediately. We implement security measures designed to protect your account, but no system is completely infallible. MedPal AI is not liable for any loss or damage arising from unauthorised use of your account where you fail to safeguard your credentials.

User Conduct: When using MedPal AI, you agree to:

Provide truthful information and only upload data that you have the right to share. This includes health metrics, wearable data, or any content you input.

Use the Service for personal, non-commercial purposes related to your individual health and wellness.

Refrain from any illegal, harmful, or abusive activities. You must not use the Service to harass others, distribute malware, attempt to hack or disrupt the platform, or violate any law.

Not attempt to reverse engineer, copy, or exploit our software or content. Any scraping, bulk downloading, or unauthorised data extraction from the Service is prohibited.

Violation of any user responsibility can result in suspension or termination of your account (see Section 9).

3. Privacy and Data Protection

Privacy Policy governs: Our Privacy Policy explains how we collect, use, share and protect personal data when you use the Service. The Privacy Policy forms part of these Terms.

Special category health data: The Service may process information that can include health data (for example, wearable metrics and user inputs). We process this information only as described in the Privacy Policy and in accordance with applicable data protection law. We do not treat use of the Service as blanket consent for all processing.

Lawful bases: Depending on the circumstances, we rely on different lawful bases (such as performance of a contract, legitimate interests, legal obligations, and—where appropriate—consent). Where consent is required for optional processing, we will request it and you may withdraw it.

Service providers: We may use third-party service providers to support delivery of the Service (for example, hosting, analytics, customer support). Where they process personal data for us, they do so under contractual obligations, including confidentiality and security requirements.

Data Security: We employ administrative, technical, and physical safeguards designed to protect personal data from unauthorised access, disclosure, or alteration. However, you acknowledge that no system can be guaranteed 100% secure or error-free. You are responsible for maintaining the security of your devices and accounts (for instance, protecting your phone or wearable devices with proper passwords or biometrics).

Your rights: You have rights in relation to your personal data (e.g., access, correction, deletion in certain cases, restriction, objection, portability). Details are in the Privacy Policy. For privacy and rights requests, contact dpo@medpal.co.uk.

Retention: We retain personal data only as long as necessary for the purposes described in the Privacy Policy and as required by law. Account deletion and retention limitations are described in the Privacy Policy.

4. AI-Generated Content and Use of Service

AI-Driven Recommendations: MedPal AI uses artificial intelligence and machine learning to analyse your data and provide insights, recommendations, and alerts. You understand that any content, suggestions, or analyses produced by the AI are generated by algorithms and have not been clinically evaluated or verified by a human healthcare professional. While we aim to provide useful guidance for wellness, AI-generated outputs may not always be accurate, complete, or up-to-date. The Service’s content is provided “as is” without any guarantee of correctness or suitability for your personal health situation.

Not Medical Advice: All information, text, graphics, messages, or other materials available through MedPal AI are for general informational and wellness purposes only. The AI-generated content is not professional medical advice, diagnosis, or treatment. MedPal AI is not a licensed healthcare provider, and the Service should not be used as a diagnostic tool or to make medical decisions. Always consult a qualified physician or healthcare provider before making any health-related decisions or changes to your lifestyle or treatment regimen.

User Responsibility and Caution: You agree to use the information from MedPal AI responsibly and at your own risk. Never disregard professional medical advice or delay seeking it because of something you read in our App or website. If the AI flags a potential issue or gives a recommendation, you should treat it as educational input that you may discuss with a clinician—not as a medical directive.

Emergency and Critical Situations: MedPal AI is not an emergency service. Do not use the App to seek help in medical emergencies. If you experience symptoms that you believe are serious or life-threatening, contact emergency services or a healthcare professional immediately (e.g., 999/112 in the UK/EU, or 911 in the US). MedPal AI does not connect you to any doctor or hospital, and we do not contact emergency responders on your behalf.

No Doctor-Patient Relationship: Your use of MedPal AI does not create a doctor–patient (or any healthcare provider–patient) relationship between you and MedPal AI or any of its employees or agents. The Service is a self-guided wellness tool; it does not replace regular check-ups, diagnostic tests, or treatment by licensed professionals.

Accuracy and Limitations: While MedPal AI strives for accuracy, we make no warranty that the information or recommendations provided are error-free or scientifically validated. AI models may be limited by the data they were trained on and might not account for every personal factor or latest research.

Third-Party Data and Integrations: MedPal AI integrates with third-party wearable devices and apps to collect your metrics. We do not guarantee the accuracy or availability of data from these third-party sources. Any use of third-party products is at your own risk and those products may have their own terms and privacy policies.

5. Health and Medical Disclaimers

To reiterate and emphasise important limitations:

No Medical Advice or Diagnosis: MedPal AI does not provide medical advice. All content and recommendations in the App/website are informational only and not a substitute for professional medical advice, diagnosis, or treatment. The Service is a non-clinical wellness tool and is not regulated as a medical device. We do not guarantee any health outcomes from using the Service.

Consult Professionals: Always seek the advice of a physician or qualified health provider with any questions about your health, medical conditions, or before starting/stopping any treatment or wellness programme.

Use At Your Own Risk: You assume full responsibility for how you use the information from MedPal AI. Any actions you take based on AI outputs are solely at your own risk.

No Endorsement of Third-Party Tests or Products: Any mention of third-party tests, devices, supplements, or services is not an endorsement. You should follow the guidance of healthcare professionals regarding medical tests or products.

Not FDA/MHRA Approved: MedPal AI’s Service has not been evaluated or approved by health regulators (such as the U.S. Food and Drug Administration or the UK Medicines and Healthcare products Regulatory Agency) because it is not intended for diagnosing, treating, curing, or preventing any disease.

By using the Service, you understand these limitations and agree that MedPal AI’s role is supplemental and educational, not diagnostic or prescriptive.

6. Subscription Plans and Payment Terms

Freemium and Premium Services: MedPal AI offers both a free tier (“Freemium”) with basic features and a paid subscription (“Premium”) with additional features and personalised content. The exact features included in each plan are described in the App or on our website.

Subscription Options and Fees:

Premium is available via two subscription plans: (a) Monthly Plan: $3.99 per month; (b) Annual Plan: $29.99 per year (equivalent to $2.49/month).

All prices are shown in your local currency where possible and may include applicable taxes.

Free Trial: Both the Monthly and Annual Premium subscriptions come with a 1‑month free trial. At the end of the trial, your selected subscription plan begins automatically unless you cancel before the trial ends.

Only one free trial is allowed per user unless otherwise specified.

Auto-Renewal: Subscriptions renew automatically at the end of each billing cycle unless cancelled beforehand.

Cancellation: You may cancel through the App settings or the platform used to purchase the subscription (e.g., Apple App Store or Google Play Store).

Refunds: Subscription fees are generally non-refundable, except where local laws require it. If purchased via an app store, that store’s refund policies may apply.

Billing and Payment Information: You must provide accurate and up-to-date billing details. If your payment fails, access to Premium may be paused until the issue is resolved.

Changes in Fees: Subscription pricing may change over time. If we increase fees, we will notify you in advance.

Premium Access and Licence: When subscribed, you are granted a limited, non-transferable, revocable licence to use Premium features for personal purposes in accordance with these Terms.

7. Intellectual Property and Licence

Our Intellectual Property: All content and materials available through the Service, including software, algorithms, text, graphics, logos, images, audio, video, data compilations, and the overall look and feel of the App/website, are intellectual property owned by or licensed to MedPal AI plc. These are protected by copyright, trademark, patent, and other intellectual property laws. We reserve all rights in and to our intellectual property.

Limited User Licence: Subject to your compliance with these Terms, MedPal AI grants you a personal, non-exclusive, non-transferable, revocable, limited licence to access and use the Service (and its content) for your own personal, non-commercial health and wellness purposes.

Prohibited Uses (Intellectual Property): Except as expressly allowed by MedPal AI, you agree not to:

Copy, reproduce, or distribute any part of the Service or content provided by MedPal AI, except as may be incidental to normal personal use of the Service or as permitted by law.

Modify, adapt, translate, or create derivative works based on any part of the Service; reverse-engineer, decompile, or attempt to extract the source code except to the limited extent allowed by mandatory law.

Remove or obscure any copyright, trademark, or other proprietary notices on the App or website.

Use our marks or name without permission in a way that confuses others or implies our endorsement.

User-Provided Content: You retain ownership of content you provide. However, to the extent necessary for us to operate and improve the Service, you grant MedPal AI a worldwide, royalty-free, sublicensable licence to use, host, store, reproduce, modify, adapt, and create derivative works from your content for the purpose of providing and improving the Service. Where personal data is involved, we handle it as described in the Privacy Policy and applicable law.

Feedback: If you submit suggestions or feedback to us (“Feedback”), you agree that such Feedback is provided voluntarily and we are free to use it without any obligation to you.

Third-Party IP: The Service may contain content or software provided by third parties (such as open-source libraries or device integration tools). Use of third-party software or content is subject to the licences and terms of those third parties.

8. Limitation of Liability

Use at Your Own Risk: MedPal AI is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, MedPal AI disclaims all warranties (express or implied) regarding the Service.

No Indirect Damages: To the maximum extent permitted by applicable law, MedPal AI (and its officers, directors, employees, agents, and affiliates) will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of (or inability to use) the Service.

Cap on Liability: To the extent that any liability is not legally excludable, the total cumulative liability of MedPal AI to you for all claims arising out of or related to these Terms or the Service will not exceed the amount (if any) you paid us to use the Service in the 12 months immediately preceding the event giving rise to liability, or £100 GBP (or equivalent), whichever is greater.

Exceptions: Nothing in these Terms shall limit or exclude any liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Indemnity: You agree to indemnify and hold harmless MedPal AI and its affiliates from any losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or misuse of the Service.

9. Termination and Suspension of Accounts

Your Right to Terminate: You may stop using MedPal AI at any time. You can also delete your account or uninstall the App. Uninstalling the App will not automatically delete your account data on our systems; please refer to the Privacy Policy for account deletion procedures.

Our Right to Suspend or Terminate: We reserve the right to suspend or terminate your access to the Service at our sole discretion if you violate these Terms, if required by law, or where continued provision of the Service is no longer commercially viable.

Effect of Termination: Upon termination of your account, your right to use the Service ceases. We may delete or deactivate your account and associated data except to the extent we are obliged or permitted to retain certain data as described in our Privacy Policy or by law.

Service Modifications and Shutdown: We may modify or discontinue the Service (or any part of it) at any time. If we discontinue a paid service, we may provide a pro‑rata refund for any unused portion of prepaid fees, as required by law.

10. Governing Law and Jurisdiction

Governing Law: These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. We choose English law because MedPal AI plc is a UK company. If you are a consumer in another jurisdiction, you may have certain protections under the mandatory laws of your country of residence; nothing in these Terms affects those mandatory rights.

Jurisdiction: You and MedPal AI agree that the courts of England and Wales shall have jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Service, subject to any mandatory consumer rights you may have to bring proceedings in your home jurisdiction.

International transfers: We primarily operate the Service using systems hosted in the UK and/or EEA. In some circumstances, authorised service providers and support personnel may access systems from outside the UK/EEA to provide technical support. Where a restricted transfer occurs, we use appropriate safeguards as described in our Privacy Policy (for example, the EU Standard Contractual Clauses together with the UK Addendum, or the UK IDTA, as applicable).

Language: These Terms are drafted in English. If we provide a translation, it is for convenience. In the event of any conflict between the English version and a translated version, the English version will control.

Regulatory Compliance: MedPal AI is intended to comply with applicable laws in the UK and, where applicable, EU/EEA consumer protection and data protection requirements. If any provision of these Terms is found unenforceable under the laws of a particular jurisdiction, that provision will be ineffective only to the extent of the unenforceability without invalidating the remaining provisions.

11. Miscellaneous Provisions

Entire Agreement: These Terms (along with the Privacy Policy and any other guidelines or policies we provide) constitute the entire agreement between you and MedPal AI regarding the Service and supersede any prior agreements or understandings.

Changes to Terms: We may update these Terms from time to time. If we make material changes, we will notify users by posting the updated Terms on our website and updating the “Last Updated” date and/or via email or in‑app notification. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

No Waiver: If we do not enforce a provision of these Terms, that does not mean we waive our right to do so later.

Severability: If any provision is held invalid or unenforceable, the remainder of the Terms will remain in full force and effect.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets.

Third-Party Rights: These Terms are between you and MedPal AI. For UK users, you and we agree that the Contracts (Rights of Third Parties) Act 1999 does not apply to these Terms.
